Additional Documents Required for a Joint Venture or Wholly Foreign-Owned Company Where Foreign Nationals are Founders or Shareholders – For companies being established with foreign nationals as founders or shareholders, whether as joint ventures or wholly foreign-owned entities, certain additional documents are required. These include legal permits for investment, identity verification, board decisions, and authorization letters for representatives. These documents ensure the company is legally established and recognized under Nepali law.

1. Copy of the permit/license obtained from the concerned authority under prevailing laws allowing investment within Nepal

2. In the case of a joint venture company:

• • Copy of approval from the Department of Industry
  • Copy of the Joint Venture Agreement

1. Certified copy of passport (if the founder is a foreign individual)

2. Certified copy of the company registration certificate (if the founder is a legal entity/company)

3. Copy of the company’s decision regarding the intended investment

4. A letter of nomination for the individual who will represent the company, along with a certified copy of that individual’s passport

विदेशी नागरिक संस्थापक तथा शेयरधनी रहने गरी स्थापना हुने संयुक्त लगानी वा पूर्ण विदेशी लगानी हुने कम्पनीको लागी आवश्यक थप कागजपत्र ।

1. प्रचलित कानून वमोजिम सम्वन्धित निकायबाट नेपाल राज्यभित्र लगानी गर्न अनुमति पाएको इजाजतपत्रको प्रतिलिपि
2. संयुक्त लगानी हुने कम्पनीको हकमा उद्योग विभागबाट स्वीकृति तथा संयुक्त लगानी सम्झौताको प्रतिलिपि
3. विदेशी व्यक्ति संस्थापक भएमा निजको राहदानी (पासपोर्ट) को प्रमाणित प्रतिलिपि
4. कानूनी व्यक्ति (कम्पनी) भए कम्पनी दर्ता प्रमाणपत्रको प्रमाणित प्रतिलिपि
5. कम्पनीले लगानी गर्ने सम्वन्धी निर्णयको प्रतिलिपि
6. कम्पनीको तर्फाट प्रतिनिधित्व गर्ने व्यक्तिको मनोनयन पत्र एवं निजको राहदानीको प्रमाणित प्रतिलिपि ।
